TERMS & CONDITIONS OF REGISTRATION AND PURCHASE

These Terms & Conditions of Registration and Purchase (“Terms & Conditions”) are entered into between LP3 Network, further defined below, and the Registrant, further defined below, as of the date of Registration (the “Effective Date”). LP3 Network encourages the Registrant to read these Terms & Conditions in full in order to understand its rights and obligations. LP3 Network may modify these Terms & Conditions from time to time, and it is encouraged for the Registrant to review these Terms & Conditions on a regular basis.

1. DEFINITIONS

"CE Activity" means an educational platform of products and services in the form of accredited and non-accredited programs; such as, but not limited to, symposia, educational conferences, workshops, live-stream programs, and both live and self-paced offerings through the CE Materials.
"CE Materials" means the materials provided to the Registrant, which are part of a CE Activity, such as, but not limited to, self-study manuals, handouts, live event manuals, live-stream manuals, publications, newsletters, transparencies, slides, programs posted or archived on the internet, videos, video recordings and audio recordings through the use of the Site.
"Content” means the content of the Site, which includes, but is not limited to, Products/Services, text, information, images, graphics, features, email, third party notifications, executable functions and applications, policies, disclosures and disclaimers.
"LP3 Network” means LP3 Network Inc., its affiliates and subsidiaries, and their respective directors, officers, and employees.
"Product/Service(s)” means, collectively, the CE Activity, CE Materials and any other products and/or services offered by LP3 Network.
"Registrant” means a legal person who has purchased and/or registered to a Product/Service, and is either: a licensed pharmacist; a pharmacy technician; an individual working directly under the supervision of a licensed pharmacist; a duly licensed medical practitioner; a student or professional in the healthcare field or related discipline relevant to the educational content; or other appropriately licensed professional who has been given the right to access username and password protected screens of the Site, and has subsequently been accepted by LP3 Network.
"Site" means this website https://education.lp3network.com

2. SCOPE OF TERMS & CONDITIONS

These Terms & Conditions are effective as of the Effective Date and apply to all purchases of the Products/Services by Registrant. These Terms & Conditions are in addition to the Privacy Statement and Terms of Use. Additional terms may apply to specific features of the Products/Services, and such terms will be presented to the Registrant upon such engagement. In the event of any conflict between these Terms & Conditions, the Privacy Statement, the Terms of Use or any other agreements between the Registrant and LP3 Network, these Terms & Conditions shall govern with respect to the use of the Products/Services.

3. CE ACTIVITY PARTICIPATION

The Registrant of a CE Activity must be a licensed pharmacist; a pharmacy technician; an individual working directly under the supervision of a licensed pharmacist; a duly licensed medical practitioner; a student or professional in the healthcare field or related discipline relevant to the educational content; or other appropriately licensed professional. LP3 Network reserves the right to inquire about, or request, a written copy of the qualifications of the Registrant. The Registrant represents and warrants that they are competent, qualified and hold the appropriate credentials, and will make such credentials available to LP3 Network upon request.
LP3 Network explicitly reserves the right to dismiss a Registrant from participation in a CE Activity for violation of adherence to professional standards of practice and the Registrant will not be entitled to any refund for a purchased CE Activity.

4. LIVE STREAMING CE ACTIVITY

LP3 Network’s internet-based live streaming CE Activity provides the Registrant with the opportunity to remotely access, use, and attend the CE Activity through the Site in order to pursue education interests. By participating in a live stream CE Activity, Registrant understands and acknowledges that it will be forwarded via a respective link to a third party service provider, to which Registrant will be subject to such third party’s terms and conditions. Registrant further understands and acknowledges that such third party provider may require Registrant to use, without limitation, additional hardware and/or software, internet access and/or bandwidth, and/or telephone use in order to participate in the CE Activity. LP3 Network cannot be held liable for any third party’s use of Registrant’s personal information, nor any additional technology requirements or financial liabilities incurred by Registrant resulting from Registrant’s access to the CE Activity through third party sites. Registrant acknowledges that LP3 Network may record any live stream CE Activity, using the third party provider’s services, for marketing, resale and/or quality assurance purposes. Such recording may contain visual and/or audio recordings of the Registrant. By participating in the live stream CE Activity and choosing the video and/or audio option, Registrant consents to LP3 Network’s use of the video and/or audio recordings of Registrant, further described in Section 13 below. 5. CONTINUING EDUCATION CREDIT POLICY

In accordance with current policy, any CE Activity must be completed in its entirety in order to receive continuing education credit for completion. Partial continuing education credit for partial completion is not offered.
LP3 Network may offer professional development training programs in the form of certificate programs and accredited courses through the Site by indirect marketing and direct online web-based programming. LP3 Network cannot warrant that the content of those professional development training programs, certified or accredited, by an approved third party provider, is accurate, valid and/or reliable. LP3 Network takes no responsibility for the accuracy, validity and/or reliability of the information contained in these professional development training programs, nor for their safety or effectiveness, nor for any use thereof, which remains at all times the sole risk of the Registrant participating in the professional development training program. LP3 Network cannot be held liable for any claims, loss, harm, or damage caused by, or alleged to be caused by, directly or indirectly, the use or misuse of the information contained in the professional development training programs. LP3 Network advises that the Registrant registered for a professional development training program review the policies of that third party approved provider.

6. ACCESS, USE, PROTECTION OF USERNAME AND PASSWORD, AND LIMITATIONS

The Site contains screens that are limited for access and use by the Registrant only, which are restricted through use of a username and password for reasons of safety and security. The Registrant is responsible for the security and validity of its username and password. The Registration is prohibited from any unauthorized use, release or divulgence of its username, password, and any and all Content contained within the restricted screens, at no exception whatsoever. Any breach with regard to unauthorized use, release, or divulgence of username, password and/or the Content, due to the fault or negligence of the Registrant, will result in immediate severability of Registrant’s account and will be subject to prosecution under the law.
The Registrant shall not sell, distribute, provide access to, or otherwise make available the Products/Services, or any part thereof, to any third party. Furthermore, the Registrant may not assign a beneficiary or any third party to the Products/Services, or any part thereof, without the express written consent of LP3 Network.

7. TERMINATION OF ACCESS TO THE PRODUCTS/SERVICES

LP3 Network reserves the right to terminate an account, shut down the Site, or restrict access to all or part of the Site to any or all persons, for any reason, at its sole discretion without incurring any liability.

8. PAYMENT TERMS

Payment for a CE Activity must be made by means of an approved credit card and received in full prior to the receipt of any CE Activity and/or CE Material. CE Activity and CE Material prices are quoted in US Dollars (USD) and are subject to change without notice at the sole discretion of LP3 Network.

9. PRICING AND PRICE CHANGE

LP3 Network reserves the right to make changes to the prices of its Products/Services without notice.

10. CANCELLATION AND REFUND POLICY

In the event that LP3 Network cancels a Product/Service, for any reason other than as stipulated in Section 16(b) below, LP3 Network’s sole liability and at LP3 Network’s sole discretion, shall be either: (a) credit Registrant’s account with the amounts paid for such cancelled Product/Service; or (b) transfer Registrant to a future date of the same Product/Service. In no event shall LP3 Network be responsible for any costs arising from such cancellation, including but not limited to, travel and/or accommodation.
In the event that Registrant cancels their enrollment in a live CE Activity, a written request must be sent to LP3 Network requesting “Cancellation without Transfer to an alternative live CE Activity event date”. Registrant will be subject to the following cancellation and refund policy:
1. Greater than or equal to 31 days from the live CE Activity event date, then Registrant will receive a 75% refund;
2. 15 to 30 days from the live CE Activity event date, then Registrant will receive a 50% refund; or
3. Less than or equal to 14 days from the live CE Activity event date, then Registrant will not receive a refund.
Registrant acknowledges that there are no refunds, returns, or transfer requests upon purchase of a home study, digital workbook, webinar, or eLearning modules.
This cancellation and refund policy is specific to Products/Services offered in North America. To obtain information on the cancellation and refund policy for Products/Services offered outside of North America, please speak to an LP3 Network representative or refer to the Product/Service-specific registration page.

11. TRANSFER POLICY - NORTH AMERICAN COURSES ONLY

This transfer policy is only applicable to live CE Activities that are offered in North America. Registrant must request a transfer greater than or equal to 14 days prior to the live CE Activity event date, in order to be eligible. Failure to submit a “Transfer Request” in compliance with the foregoing will default to “Cancellation and Refund Policy” stipulated in Section 10(b)(iii) above. The Registrant may only submit one (1) “Transfer Request” per CE Activity. All transfers to a new live CE Activity event date must be within the same calendar year as the original live CE Activity event date. Failure to attend the new live CE Activity will lead to no refund and will no longer be transferable. Confirmation of a new live CE Activity event date submitted in compliance with these Terms & Conditions is subject to the approval of LP3 Network based on the number of available seats within the selected live CE Activity event.

12. PRACTICAL LABORATORY LIABILITY POLICY

The Registrant understands that he/she may participate in a CE Activity which may involve medicines, chemicals, laboratory equipment and other materials related to the CE Activity which may present a hazard if misused or not used in accordance with reasonable safety procedures. If the Registrant is pregnant, has a medical condition or disease or has recently suffered an illness or injury, the Registrant represents and warrants that he/she has consulted his/her physician prior to participation in the CE Activity. Registrant acknowledges that LP3 Network cannot and shall not be held liable for any non-compliance with the foregoing and is solely at the risk of the Registrant.
By agreeing to these Terms & Conditions, the Registrant hereby acknowledges its responsibility to exercise the highest standards of safety and caution in the handling and use of these materials and agrees to be responsible for and hereby releases and discharges LP3 Network, and their agents, contractors, assigns and successors, and all other persons, firms, or whomever may be claimed to be liable, from any and all claims, demands, damages, actions, causes of action or suits of any kind or nature whatsoever, and particularly on account of all injuries, known and unknown, both to person and property, which may result from the negligence of the Registrant in the handling or use of any such materials. The Registrant hereby declares that the terms of this release of claim with LP3 Network has been completely read and is fully understood and voluntarily accepted for the purpose of making full and final release of any and all claims, disputed or otherwise, on account of the injuries and damages abovementioned, and for the express purpose of forever barring and future claims arising therefrom.

13. MARKETING CONSENT AND AUTHORIZATION

I, the Registrant, hereby give consent to LP3 Network Inc., Medisca Pharmaceutique Inc., Medisca Inc., Medisca Australia Pty Ltd., and Medisca Network Inc. (hereinafter “LP3 and/or MEDISCA”), and all persons acting under authority, to use, in whole or in part, my name, photograph, video or voice record and my image, in its publications, advertising or other media activities (including the Internet). This consent includes, but is not limited to:
1. Permission to LP3 and/or MEDISCA to interview, film, photograph, tape, or otherwise make a video production of me and/or record my voice;
2. Permission to LP3 and/or MEDISCA to record the live CE Activity, either attended in person or via live stream, on which I appear for educational, internal, promotional, resale, marketing and/or archival purposes;
3. Permission to use my name; and
4. Permission to use quotes from the video or testimonial(s) (or excerpts of such quotes), the photograph(s), tape(s) or reproduction(s) of me, and/or recording of my voice, in whole or in part, in its publications, other print media, and electronic media (including the Internet).
I acknowledge that LP3 and/or MEDISCA own all rights and privileges to the images, recordings and testimonials including all reproductions thereof.
I hereby waive:
1. Any right to inspect or approve the images, recordings and testimonials or of any written copy;
2. All copyright and moral rights; and
3. Any right to royalties or other compensation arising from or related to the use of the images, recordings or testimonials.
For any questions or concerns with the above, Registrant may contact an LP3 Network representative for more information or for any instructions in order to opt-out of the above authorization.

14. PROPRIETARY RIGHTS

All CE Materials are © Copyright LP3 Network Inc. LP3 Network has taken significant measures to protect its property under the law by applying trademarks and copyright to its products and services. No CE Materials or any other content may be distributed, downloaded, modified, reused, reproduced, reposted, retransmitted, disseminated, sold, published, circulated or otherwise used in any whatsoever except as expressly stated, without the express written consent of LP3 Network.
It is strictly forbidden to use the name LP3 Network, or its official logo, for any reason without the express written consent of LP3 Network. LP3 Network reserves the right to restrict any unauthorized use of its name, official logo and other intellectual property without its express written consent.

15. DISCLAIMER, LIMITATION OF LIABILITY AND NO WARRANTY

All CE Activities and CE Materials are for educational purposes only. An accredited education activity is accredited by a recognized and accredited provider of continuing education in accordance with the provider’s standards. CE Activities and CE Materials, which may include treatment modalities, diagnostics and therapeutic information, and instructions related to regulatory guidelines and current standards of practice as they relate to pharmacy compounding, is for educational reference purposes only, and should not be taken as a treatment regimen, product indication, or suggested treatment modality. Any treatments, therapies, regulatory or practice standards must be fully investigated by a licensed pharmacist and prescribed by a duly licensed medical practitioner in accordance with accepted professional standards and compendia. LP3 Network takes no responsibility for the validity of this information or for its safety or effectiveness, or for any use thereof, which is at the sole risk of the medical, healthcare or other appropriately licensed professional. Licensed pharmacists, medical, healthcare, or other appropriately licensed professionals are advised that CE Activities and CE Materials should not be used as a means of establishing therapeutic interventions; rather therapeutic interventions should be based on a duly licensed medical practitioner’s independent clinical judgment. LP3 Network cannot be held liable to any person or entity concerning claims, loss, or damage caused by, or alleged to be caused by, directly or indirectly, the use or misuse of the information contained in any CE Activity, CE Material, written documentation, or verbal consultation. LP3 Network makes no warranties with respect to the accuracy of the information contained in any CE Activity or CE Material and it is the responsibility of the medical, healthcare or other appropriately licensed professional to fully investigate and determine the application of the content to its own business and practitioner practices. Registrants of a CE Activity and/or CE Material whom are not a medical, healthcare or other appropriately licensed professional acknowledge that the information contained in the CE Activity and CE Material are for informational purposes only and shall not be used without the direct supervision or guidance of a medical, healthcare or other appropriately licensed professional, solely if permitted by applicable laws. In the event of any claim by a third party in relation to the content of any CE Activity or CE Material, or any other Product/Service provided by LP3 Network, Registrant will indemnify and hold harmless LP3 Network and their agents, contractors, assigns and successors, and all other persons, firms, or whomever may be claimed to be liable from and against any harm, damage, loss, claim or threats thereof, including reasonable attorneys’ fees, which may result, in whole or in part, therefrom.
REGISTRANT ACKNOWLEDGES THAT BY PARTICIPATING IN A PRODUCT/SERVICE OF LP3 NETWORK, THE REGISTRANT DOES NOT AND WILL NOT OBTAIN ANY TYPE OF CERTIFICATION, LICENSE OR PROFESSIONAL DESIGNATION FOR ANY REGULATORY BODY. IT IS THE RESPONSIBILITY OF THE REGISTRANT TO ENSURE IT MEETS ALL REQUIREMENTS THE REGISTRANT MAY BE SUBJECT TO IN ACCORDANCE WITH APPLICABLE LAW IN REGARDS TO THE USE OF ANY INFORMATION CONTAINED IN A CE ACTIVITY AND/OR CE MATERIAL. LP3 NETWORK MAKES NO REPRESENTATIONS THAT PARTICIPATION IN ANY PRODUCT/SERVICES WILL GRANT OR ASSIST IN GRANTING THE REGISTRANT ANY TYPE OF CERTIFICATION, LICENSE OR PROFESSIONAL DESIGNATION WITH ANY APPLICABLE REGULATORY BODY. LP3 NETWORK CANNOT AND SHALL NOT BE HELD LIABLE FOR ANY USE OR MISUSE OF THE INFORMATION CONTAINED IN ANY PRODUCT/SERVICE BY THE REGISTRANT. REGISTRANT SHALL INDEMNIFY, DEFEND RELEASE AND HOLD HARMLESS LP3 NETWORK, AND THEIR AGENTS, CONTRACTORS, ASSIGNS AND SUCCESSORS, AND ALL OTHER PERSONS, FIRMS, OR WHOMEVER MAY BE CLAIMED LIABLE FROM AND AGAINST ANY HARM, DAMAGE, LOSS, CLAIM OR THREATS THEREOF, INCLUDING REASONABLE ATTORNEYS’ FEES, WHICH MAY RESULT, IN WHOLE OR IN PART, THEREFROM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LP3 NETWORK NOR ITS SUBSIDIAIRIES NOR ITS AFFILIATES, BE LIABLE FOR ANY INCIDENTAL DAMAGES, CONSEQUENTIAL DAMAGES, EXEMPLARY DAMAGES OF ANY KIND, LOST GOOD WILL, LOST PROFITS, LOST BUSINESS AND/OR ANY INDIRECT ECONOMIC DAMAGES WHATSOEVER REGARDLESS OF WHETHER SUCH DAMAGES ARISE FROM CLAIMS BASED UPON CONTRACT NEGLIGENCE, TORT (INCLUDING STRICT LIABILITY OR OTHER LEGAL THEORY), A BREACH OF ANY WARRANTY OF TERM OF THIS AGREEMENT, OR FOR ANY LOSS OR DAMAGE(S) ARISING FROM OR RELATING TO THE RELATIONSHIP BETWEEN LP3 NETWORK AND REGISTRANT OF WHETHER THE CLAIM UNDER WHICH SUCH DAMAGES ARE SOUGHT IS BASED UPON IF REGISTRANT WAS ADVISED OR HAD REASON TO KNOW OF THE POSSIBILITY OF INCURRING SUCH DAMAGES IN ADVANCE.
LP3 NETWORK PROVIDES THE PRODUCTS/SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. REGISTRANT USES THE PRODUCTS/SERVICES AT ITS OWN RISK. REGISTRANT MUST PROVIDE ITS OWN DEVICE AND INTERNET ACCESS. EXCEPT AS EXPRESSLY SET FORTH HEREIN, AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, LP3 NETWORK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FURTHERMORE, LP3 NETWORK MAKES NO REPRESENTATIONS OR WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) THAT LP3 NETWORK PRODUCTS/SERVICES, OR ANY PART THEREOF, WILL BE AVAILABLE OR PERMITTED IN REGISTRANT’S JURISDICTION, UNINTERRUPTED OR ERROR-FREE, COMPLETELY SECURE, OR ACCESSIBLE FROM ALL DEVICES OR BROWSERS; (B) CONCERNING ANY CONTENT SUBMITTED BY OR ACTIONS OF THE USERS; (C) THAT THE PRODUCTS/SERVICES WILL MEET REGISTRANT’S NEEDS; (D) THAT LP3 NETWORK WILL CONTINUE TO SUPPORT ANY PARTICULAR FEATURE OR MAINTAIN BACKWARDS COMPATIBILITY WITH ANY THIRD-PARTY SOFTWARE OR DEVICE; OR (E) CONCERNING ANY THIRD-PARTY WEBSITES AND RESOURCES.

16. MISCELLANEOUS

Unless otherwise prohibited by law, these Terms & Conditions shall be governed by, and construed in accordance with, the laws of the State of Florida, United States of America, for all purposes herein, without regard to or application of its conflict of law principles. The parties hereto hereby submit and consent to the exclusive jurisdiction of the courts of the State of Florida, United States of America. Whenever possible, disputes arising hereof may be settled by common consent or mediation.
LP3 Network shall be excused from any delay caused by reason of any occurrence or contingency beyond its reasonable control, including but not limited to, acts of God, hurricane, earthquake, labor disputes, strikes, riots, war, communicable disease outbreaks, quarantines, and governmental requirements. The obligation to pay money to LP3 Network in a timely manner is absolute and shall not be subject to this Force Majeure provision. In such an event, LP3 Network will not issue any refunds, only transfer to an alternate live CE Activity event date.
The Registrant agrees that LP3 Network, at its sole discretion, may revise and/or modify the Content of the Site, these Terms & Conditions, and/or the Products/Services, at any time and for any reason. Any modifications to these Terms & Conditions by LP3 Network shall be effective as of the “Effective as of” date at the bottom of this document. No modifications to these Terms & Conditions by Registrant shall be valid unless otherwise agreed to in writing by LP3 Network. The purpose of such revisions and/or modifications is to make improvements and to ensure the highest possible quality assurance. LP3 Network encourages the Registrant to check the content of these Terms & Conditions periodically for any updates.
If any provision of these Terms & Conditions is declared void or unenforceable, such provision shall be severed from these Terms & Conditions, which shall otherwise remain in full force and effect.
